ABOUT THE OPPORTUNITY
Position: Associate / Senior Associate – PE/VC, M&A & Corporate-Commercial
Location: New Delhi
Work Type: Full-time | On-site
Sarvaank Associates is looking for an Associate/Senior Associate with prior law firm experience in Private Equity, Venture Capital, M&A and/or Corporate-Commercial transactions.
Key Responsibilities:
- Drafting, reviewing and negotiating Share Subscription Agreements (SSA), Shareholders’ Agreements (SHA), Share Purchase Agreements (SPA), Term Sheets, Investment Agreements and related transaction documents
- Advising on PE/VC investments, M&A transactions, start-up investments, fund-related matters and corporate structuring
- Conducting legal due diligence and assisting with transaction execution
- Assisting in transaction structuring, investment rounds, ESOPs and cap table matters
- Advising on the Companies Act, FEMA, SEBI regulations and other corporate/regulatory requirements
- Drafting and negotiating commercial and corporate agreements
- Conducting comprehensive legal research and preparing commercially focused legal advice
- Working directly with founders, funds, investors and family offices
- Managing multiple transactions and client requirements in a fast-paced, transaction-driven environment
Qualifications & Experience:
- LL.B. from a recognised law school
- Associate: 2–3 years of relevant experience
- Senior Associate: 3–5 years of relevant experience
- Prior law firm experience in PE/VC, M&A, Corporate-Commercial or related transactional work
- Strong experience in drafting and reviewing investment and transaction documents
- Good understanding of Companies Act, FEMA, SEBI regulations and corporate-commercial laws
- Experience in due diligence, transaction structuring and regulatory compliance
- Familiarity with the start-up ecosystem, cap tables, ESOPs and fund investments is preferred
- Strong drafting, negotiation, research and analytical skills
- Ability to independently manage client interactions and multiple matters
