About the Opportunity:
Asia Law Offices is seeking experienced corporate legal professionals to join its corporate team. The role involves handling high-stakes corporate transactions, complex commercial contracts, due diligence, and regulatory advisory work.
Position:
Associate / Corporate Counsel (Experience: 2–3 Years PQE)
Eligibility Criteria:
(i) 2–3 years post-qualification experience in corporate law or related transactional practice.
(ii) Strong drafting, negotiation and commercial judgment.
(iii) Experience in due diligence, transactional documentation, and regulatory advisory.
(iv) Ability to work accurately under deadlines and manage client expectations.
Responsibilities:
- Conduct legal due diligence and prepare due diligence reports.
- Draft, review and negotiate transactional documents such as share purchase agreements, shareholders’ agreements, share transfer agreements, and investment agreements.
- Draft and negotiate JV agreements, strategic partnership documents, concession agreements, EPC contracts, O&M agreements, RFQs/RFPs and other tender-related documents.
- Manage and negotiate non-standard commercial contracts (technology/IP licensing, business transfer, procurement/vendor agreements, franchise, sponsorship, sub-contracting agreements).
- Draft legal opinions and memoranda on complex regulatory and commercial matters.
- Provide pragmatic risk assessment and commercially-sound legal advice.
